1. Primary Purchase & Strictly Non-Refundable Bids
1.1. Primary Consideration vs. Production Perk: Participant expressly agrees that all bids placed on the platform purchase dynamic leaderboard rank and associated digital visibility on the Site. The transaction is complete, executed, and fully rendered upon cryptographic recording on the public ledger. Any associated cinematic cameo placement or on-screen appearance in ZERO SHOT constitutes an honorary, contingent production perk awarded to qualifying top-ranking bidders, rather than a separate purchased commodity or direct commercial advertising service.
1.2. Non-Refundable Policy: All bids are strictly non-refundable once placed, regardless of rank fluctuations, outbidding by third parties, failure to maintain a leading position, or disqualification under compliance review. The Owner of the Site (and Producer of ZERO SHOT) provides no warranty regarding secondary market value, commercial return, or social engagement.
1.3. Bidding in Personal Capacity for Product or Organization: A participant or bidder may place a bid for their product, startup, brand, open-source project, or organization in their personal capacity (using personal funds, personal executive standing, or individual authority). In all such cases, still all terms, conditions, warranties, non-refundable policies, creative editorial authority, and compliance standards set forth in this Agreement strictly apply to both the individual participant and the associated product or organization without exception.
1.4. Mandatory Prerequisite Agreement & Telemetry Audit Logging: Payments will be accepted and listing on the public leaderboard will be executed strictly and only after the user/bidder reads the terms of this Bidder Agreement and affirmatively agrees to them during bidder registration and profile configuration. Users must agree to all platform guidelines, content moderation policies, KYC/KYB verification requirements, and the fair unlisting/relisting/reranking policy prior to placing any bid. Upon agreement and during each bidding event, high-entropy audit telemetry—including the user's client IP address, hardware device fingerprint, browser fingerprint, and exact date and timestamp (UTC/ISO)—is captured and recorded in our secure backend compliance database. Any funds transfer attempted without verifiable digital agreement to these statutory terms is non-binding and non-compliant.
1.5. Deterministic Rank Priority, Settlement Timestamp Order, 10-Second Concurrency Window & Mandatory +$5 Overtake Rule: Leaderboard ranking is awarded strictly and primarily by total cumulative confirmed capital paid (totalPaidUSD descending). In the event two or more participants submit or reach identical cumulative totals, priority is resolved deterministically by earliest confirmed gateway settlement timestamp order:
- Prior Occupant Precedence: The participant whose payment is processed and confirmed first holds and retains the contested rank. Matching an existing occupant's cumulative total does not displace or dislodge the occupant.
- 10-Second Concurrency Window: If multiple bidders execute payments resulting in an identical cumulative standing within ten (10) seconds of one another, the participant whose payment is confirmed first receives the contested rank (Rank R). All other concurrent bidders submitting the same cumulative amount within that 10-second window are deterministically inserted into the immediate ranks directly below (Rank R+1, R+2, etc.) in exact order of completed payment settlement.
- Mandatory +$5 Overtake Rule: To surpass, displace, or claim an occupied rank, any subsequent or competing bidder must pay strictly at least the occupant's current cumulative bid plus five US dollars or rounded off equivalent in transaction currency (Occupant Cumulative Bid + $5.00 USD (or rounded off equivalent)). Submitting equal amounts or increments under $5.00 USD (or rounded off equivalent) is insufficient to overtake any established position.
1.6. Scope of Platform Listing, Ranking & Strict Traffic/Click Disclaimer: Every bidder and participant expressly acknowledges, understands, and agrees that bidding on the platform is solely and exclusively for leaderboard rank standing, display on platform pages, and public directory placement in the live showroom catalog. Placement on the platform, leaderboard, or public directory does NOT guarantee, represent, or warrant any specific, minimum, or estimated volume of clicks, web traffic, user referrals, conversions, commercial sales, or audience engagement to the listed entity, product, website, or business. The platform operates strictly as a competitive rank-based directory and cultural leaderboard; external engagement and visitor interaction vary organically. Qualifying bidders who finish within the Top 50 upon final auction close (Cast Lock) earn an exclusive pass to feature in the feature film ZERO SHOT, which remains strictly subject to and governed by all existing Terms of Service, compliance guidelines, single-entity rules, content moderation standards, KYC/KYB clearances, and absolute directorial/editorial discretion set forth in this Agreement.
1.7. Single Active Session Security Enforcement & Anti-Hijacking Concurrency Control: Only one active session per account is allowed and strictly enforced for enhanced security and protection against unauthorized credential sharing, simultaneous bidding race conditions, and account hijacking. If a user signs in or attempts to access their account from another device, browser, or concurrent tab, the platform actively detects concurrency and immediately requires resolution. Claiming an active session automatically and immediately signs out, evicts, and revokes access from all other active sessions and devices.
2. Closing Date, Top 50 Storyline & Appearance Opportunity Allocation
2.1. Closing Date & Cast Lock: The live auction sprint terminates permanently at September 20, 2026 at 23:59 IST ("Cast Lock"), subject only to active anti-sniping countdown extensions. Upon Cast Lock, the leaderboard freezes permanently.
2.2. Storyline & Appearance Opportunity Disclosure to Top 50 Bidders: The basic narrative storyline, script context, and specific appearance opportunity according to their final locked bidder rank at the closing date will be shared directly with the Top 50 verified bidders via the secure Participant Dashboard.
2.3. Single Entity Scope Per Single Bidder: Each cameo feature pass earned by a Top 50 bidder is strictly designated for just one entity — either the individual person or the corporate/business entity — per single winning bidder slot. Bidders may not split, syndicate, bundle, or introduce multiple distinct entities or persons under a single winning pass.
2.4. Placement Tiers (Approximate Screen Time):
- Tier 1 (Rank #1): ~4.0 to 5.0 Minutes approximate screen time target.
- Tier 2 (Ranks #2–#5): ~2.0 to 3.0 Minutes approximate screen time each.
- Tier 3 (Ranks #6–#15): ~30 to 90 Seconds approximate screen time each.
- Tier 4 (Ranks #16–#30): ~10 to 30 Seconds approximate screen time each.
- Tier 5 (Ranks #31–#50): In-world screen presence / credits.
3. Absolute Creative Authority, Creative Freedoms & Satirical Fictionalization
3.1. Sole Editorial & Creative Authority: The Producer retains sole, unencumbered, and absolute creative, editorial, narrative, and technical authority over the Project, including plot structure, screenplay revisions, dialogue, scene composition, visual effects, character portrayals, sound design, runtime, and final cut.
3.2. Creative Freedoms & Satirical Universe Context: Participant acknowledges and agrees that ZERO SHOT is an internet-native, AI-generated sci-fi mockumentary and cultural critique set within the fictional "Year 2099 Archive Reconstruction" reality. Producer possesses complete creative freedom to stylize, animate, parody, dramatize, or contextualize submitted assets, names, logos, voices, and likenesses within the narrative worldbuilding.
3.3. Covenant Against Injunctive Relief: Participant expressly covenants not to seek injunctive relief, interfere with global exhibition or distribution, or assert claims of defamation, commercial disparagement, or distortion based on artistic styling, cameo runtime, scene context, or narrative juxtaposition.
4. Producer Discretion, Compliance Ineligibility, One-Time Transfer & Corporate M&A Covenants
4.1. Conditional Pass Acquisition as an Artistic Perk & Single Entity Limitation: Bidding purchases website leaderboard rank and digital exhibition, with a conditional honorary cameo placement perk extended to Top 50 verified bidders at Cast Lock to feature within the mockumentary world of ZERO SHOT according to rank tier, strictly for just one entity (either the individual person or the corporate entity) per single bidder; however, the ultimate decision to feature any member or asset lies solely and exclusively within the creative and editorial discretion of the Producer.
4.2. Bidding in Personal Capacity: Any participant may submit bids for their product, startup, protocol, or organization in their personal capacity. Still, all terms and conditions of this Agreement—including non-refundability, editorial discretion, IP clearances, and synthesis licensing—remain fully binding on both the individual and the represented brand.
4.3. Non-Inclusion Rights: If a member or winning bidder is determined to be non-compliant, ineligible under KYC/KYB screening, or in breach of editorial standards, the Producer reserves the unconditional right not to feature them in the movie.
4.4. Strict One-Time Pass Transfer Limitation & Post-Lock Prohibition: In such case where the Producer exercises the right not to feature a member due to ineligibility or non-compliance, or where a qualifying bidder elects to transfer their placement, the cameo pass may be passed on strictly ONLY ONE TIME to a designated secondary entity or person. Successive, cascading, or multiple re-transfers are strictly prohibited and null and void ab initio. If the bidder entity using the cameo pass changes post the official date of final placement for the movie (Cast Lock / Production Asset Freeze), the change will NOT be entertained under any circumstances; the cameo asset mastered into the synthesis pipeline will remain final, immutable, and irrevocable.
4.5. Mergers & Acquisitions (M&A), Corporate Deals & Investor Representation Sole Responsibility: In the event that a bidder or their entity undergoes any merger, acquisition, corporate restructuring, asset sale, venture capital investment, fundraising round, buyout, or partnership deal, it is solely and exclusively the bidder's responsibility to notify all related parties, investors, acquirers, and statutory stakeholders, and to represent the terms and conditions of this cameo pass properly and accurately. The Website Owner, Platform, and Producer bear zero duty, obligation, or liability to notify external parties, provide third-party representations, or facilitate post-deadline entity restructuring or entity re-branding.
5. Multi-Stage Review Timers & Automatic Silence Approval
5.1. Structured Review Windows: To ensure the AI synthesis pipeline meets strict production delivery deadlines, verified Top 50 participants adhere to strict review timers:
- Creative Intake Window (72h Post-Lock): Winners submit character concepts, lore suggestions, and placement preferences (advisory only).
- Pre-Edit Concept Review (48h Window): Production team delivers concept sketches and character prompts. Bidder may request one round of aesthetic adjustments.
- Post-Edit Cameo Preview (24h Window): Watermarked video preview delivered via Dashboard. Feedback is strictly limited to factual asset accuracy or brand defects.
5.2. Automatic Silence Approval: Failure by participant to submit written feedback within active review timers constitutes unconditional and irrevocable approval of the work; the automated pipeline advances immediately without delay.
6. Statutory Warranties, Third-Party Clearances & Perpetual AI Synthesis License
6.1. Authority & Clearances: Participant declares under penalty of perjury that they hold legal majority (18+) or have obtained verified, mandatory parental/legal guardian consent pursuant to Section 15, and hold unencumbered authority to license submitted trademarks, logos, likenesses, and materials ("Participant Materials"). Participant warrants that materials do not infringe third-party copyrights, trademarks, publicity rights, union/guild rules, or privacy rights.
6.2. Perpetual Worldwide AI License: Participant grants Producer a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to ingest, simulate, animate, modify, clone, voice-synthesize, and publicly exhibit Participant Materials within ZERO SHOT, trailers, marketing, and global distribution across all media now known or hereafter created. Participant further represents, warrants, and irrevocably declares that they possess all requisite rights, title, and legal capacity to consent to the use, ingestion, simulation, and synthesis of all submitted Participant Materials, and covenants and confirms that they have consulted with all relevant and appropriately qualified legal, statutory counsel, and professional advisors regarding this grant and its binding legal implications prior to submission.
6.3. 48-Hour Legal Cure Period: If Producer or independent legal counsel requests supplementary documentation (e.g. proof of trademark registration or corporate board resolutions), participant shall furnish such records within 48 hours, failing which cameo placement is forfeited without refund.
7. Complete Exclusion of Securities, Production Contingencies, Halting & Discretionary Disclosure
7.1. No Securities or Equity: Bids and leaderboard rankings do not constitute securities, shares, partnership units, debt instruments, or collective investment schemes under US SEC regulations, UK FCA rules, EU MiFID II, Indian SEBI regulations, or any global securities laws.
7.2. Zero Royalties: Participant holds no entitlement to box office gross receipts, streaming licensing fees, advertising revenues, merchandise profits, or residuals generated by the Project.
7.3. Production Contingencies, Budget Constraints & Project Halting: In the event that the motion picture ZERO SHOT cannot be produced, is delayed, suspended, or permanently or temporarily halted due to budget constraints, financial limitations, statutory or regulatory directives, legal or compliance barriers, technological impediments, or unforeseen situations, neither the Producer, Builder, nor the Platform shall be under any obligation to complete production or incur liability. All bids placed remain non-refundable consideration for primary leaderboard ranking and associated digital visibility on the Site.
7.4. Cameo Pass Invalidation & Compliance Disqualification: If any individual participant's cameo pass, appearance authorization, or placement opportunity is invalidated, revoked, or unable to proceed due to regulatory or compliance constraints, statutory mandates, advertising standards, content rating requirements, third-party intellectual property challenges, or unforeseen situations, the participant's primary leaderboard rank purchase remains fully executed and non-refundable, subject strictly to the privilege transfer provisions outlined in Section 4.4.
7.5. Discretionary Disclosure Protocol (Private vs. Public Declaration): In any scenario involving project halting, non-production, production suspension, or individual cameo pass invalidation as described in Sections 7.3 and 7.4, the Builder and Producer reserve the unencumbered right and sole discretion to declare, communicate, and disclose the situation either privately or publicly as per the context (including direct private correspondence to the affected party, or public announcements across platform channels), as determined appropriate by the Builder/Producer in accordance with the specific circumstances, legal sensitivities, and regulatory context.
8. Commercial Transparency, Cameo as an Artistic Perk (Not Direct Paid Promotion) & No Implied Endorsement
8.1. Cameo Inclusion as an Honorary Artistic Perk (Not Direct Paid Promotion): Participant expressly acknowledges and covenants that the sole and definitive commercial consideration purchased through live auction bidding is dynamic showroom leaderboard ranking, cryptographic ledger recording, and digital visibility on the Platform. Cameo inclusion, cinematic integration, or potential on-screen appearance in the motion picture ZERO SHOT is an honorary artistic perk, narrative world-building reward, and contingent production privilege extended to qualifying Top 50 participants upon final Cast Lock. Cameo inclusion does NOT constitute a direct paid promotional advertisement, commercial media buy, infomercial, or product endorsement. ZERO SHOT is an autonomous, satirical philosophical sci-fi mockumentary and cultural commentary; all on-screen integrations serve narrative, diegetic, and aesthetic world-building purposes within the film's fictional 2099 universe rather than commercial product promotion.
8.2. Participant Responsibility for External Marketing Disclosures: Because cameo integration in the film is an artistic perk rather than commercial advertising, if a participant independently chooses to externally publicize, advertise, or market their leaderboard ranking, auction participation, or cameo appearance across their own corporate, commercial, or social channels, the participant is strictly and solely responsible for ensuring that all such external promotional statements carry honest, transparent, and unambiguous commercial disclosures in full compliance with applicable statutory advertising regulations:
- United States: FTC 16 CFR Part 255 (Guides Concerning the Use of Endorsements and Testimonials in Advertising);
- United Kingdom: ASA CAP Code and CMA Consumer Protection Regulations;
- European Union: Directive 2005/29/EC (Unfair Commercial Practices) and Digital Services Act (DSA);
- India: Consumer Protection Act, 2019 & CCPA Guidelines for Prevention of Misleading Advertisements, 2022;
- Global: Regional statutory unfair trade practices, consumer protection, and commercial transparency standards.
8.3. Absolute Exclusion of Implied Endorsement: Under no circumstances shall Participant represent, state, or imply that the Producer, the Director, the motion picture ZERO SHOT, or its creators endorse, certify, validate, sponsor, or recommend Participant's company, products, services, tokens, or investment offerings. Participation operates strictly as a cultural and satirical cameo perk within a work of speculative fiction.
9. Content Moderation, Listing Guidelines, Authority to List, Mandatory KYC/KYB & Fair Delisting/Reranking Policy
9.1. Active Content Moderation & Listing Standards: The platform operates an active, continuous content moderation framework. All listings, products, services, company dossiers, promotional teasers, logos, external URLs, and marketing copy submitted to or exhibited on bid4cameo.space must adhere to strict integrity, legal compliance, and commercial decency standards. The platform strictly prohibits listings that involve fraudulent activity, illegal schemes, deceptive marketing, counterfeit items, intellectual property infringement, defamatory representations, malware, adult content, predatory conduct, or unauthorized financial/investment promotions.
9.2. Declared Zero-Tolerance Policy on Fraudulent, Illegal, or Misleading Products/Services: The platform maintains a strict, declared policy to immediately flag and unlist any product, service, business, or entity if found—or even suspected during moderation—to be fraudulent, illegal, deceptive, or misleading. To safeguard public visitors, consumers, and marketplace integrity, the platform reserves the unconditional right to enact immediate precautionary unlisting upon internal algorithmic detection, administrative moderation, or receipt of a credible third-party notice, prior to formal dispute adjudication.
9.3. Mandatory Authority to List (Applicable to All Participants & Non-Cameo Bidders): Every participant, bidder, and user—including non-cameo participants or general bidders who list an entity, product, protocol, or business strictly for leaderboard rank and digital showroom placement without claiming film cameo perks—must solemnly declare and represent under penalty of law that they hold, possess, and maintain full legal authority and authorization to list that entity, product, brand, or business on the platform. Unauthorized third-party listing, brand impersonation, corporate misrepresentation, or listing without explicit executive authority is strictly prohibited and constitutes a material breach of this Agreement.
9.4. Mandatory KYC/KYB Verification & Supporting Documentation: Any participant or bidder (including non-cameo bidders) may be asked by platform compliance officers at any time to furnish supporting documents that verify their genuine relationship to the entity they are listing, their authority to list it, and their personal/corporate identity. Requirements include:
- Know Your Customer (KYC): Government-issued photo identification, proof of identity, residential proof, and verified direct contact credentials of the individual executing the listing;
- Know Your Business (KYB): Official certificate of incorporation, business registration, registered office records, statutory tax credentials (e.g., GSTIN, VAT, EIN), corporate domain verification, and corporate board resolution or executive authorization letter;
- Supplementary Authority & Supporting Records: Additional supporting documentation if more are needed to substantiate product authenticity, licensing rights, regulatory permits, or intellectual property ownership.
9.5. Reasonable Timeframe for Submission & Interim Unlisting: Upon issuance of a compliance notice requesting KYC, KYB, or supporting documentation, the participant must supply all requested records within a reasonable timeframe (specified in the written notice, typically forty-eight [48] to seventy-two [72] hours). If the participant fails to provide the requested documents within that reasonable timeframe, or if the submitted documents are incomplete, unsatisfactory, or unverified, the product, entity, and listing will be immediately unlisted and removed from the public showroom and active leaderboard until they provide those records and any additional supporting documentation required to satisfy compliance verification.
9.6. Definition & Standards of Fairness (Unlisting, Relisting & Deterministic Reranking): The platform explicitly defines and adopts "Fairness" as the foundational principle governing all moderation, unlisting, relisting, and reranking actions:
- Fairness to the Public & Marketplace: It is fundamentally fair that visitors, consumers, and prospective partners are shielded from fraudulent, illegal, or misleading listings, and that unverified entities are not permitted to advertise or solicit commercial interest while suspected of non-compliance.
- Fairness to Legitimate Bidders: It is fair to compliant participants who undergo verification that unverified, bad-faith, or unauthorized actors cannot unfairly capture visibility, dilute leaderboard standing, or displace verified brands.
- Fairness of Precautionary Unlisting: Unlisting on suspicion is a fair, temporary, and neutral risk-mitigation tool designed to protect the ecosystem without imposing punitive finality, granting the participant an orderly opportunity to clear suspicions.
- Fairness in Relisting & Cure: When an unlisted participant furnishes the required KYC/KYB and supporting documents to the complete satisfaction of the compliance cell, all suspicions are cleared and the product/entity is promptly relisted on the platform without prejudice or penalty.
- Fairness in Deterministic Reranking: Upon relisting, the participant is re-indexed and reranked strictly in accordance with their total confirmed cumulative paid capital and original settlement timestamp order under the platform's deterministic consensus rules. The relisted participant regains their rightful rank based on capital paid, while the legitimate priority of other verified participants who paid or surpassed them is properly respected.
- Express Declaration & Agreement to Fairness: Every bidder, user, and entity expressly acknowledges, declares, and agrees that this moderation, verification, unlisting, relisting, and reranking policy is fair, reasonable, proportionate, and equitable by all means, and affirmatively consents to be bound by it.
9.7. Mandatory Pre-Bid Agreement & Backend Telemetry Logging: Agreeing to these Terms of Service, Bidder Agreement, and statutory declarations is a mandatory prerequisite before any user can submit a bid or execute a payment. For every registered user, whenever terms are agreed or bids are submitted, the platform backend automatically captures and logs the user's client IP address, device hardware fingerprint, browser fingerprint, and exact date and timestamp (UTC/ISO) into our secure backend audit database to maintain an authentic verification record.
9.8. Suspected or Proven Illegal Activities, Misrepresentation, Fraudulent Claims, Indefinite Unlisting, Bidder Ban & Absolute Authority to Inquire: If a bidder or participant is suspected or found to run or engage in illegal activities—either themself directly or through their listing, entity, service, token, or product—or is suspected or found to misrepresent the listing or make fraudulent claims, the platform owner and administrator reserve the absolute, unconditional, and unilateral right to unlist the entity or product indefinitely, ban the bidder temporarily or permanently from the platform, or ask for and require further questions, queries, documentation, or formal justifications until a satisfactory response is received and verified by compliance administration. The listing shall remain unlisted or suppressed, and the bidder's account shall remain suspended, unless and until a satisfactory and conclusive response is received to the sole and absolute discretion of the platform owner and administration.
10. Indemnification & Aggregate Liability Cap
10.1. Indemnification: Participant agrees to indemnify, defend, and hold harmless the Owner of the Site (and Producer of ZERO SHOT), its affiliates, directors, officers, engineers, and distributors against any third-party claims, trademark disputes, infringement actions, or damages arising from Participant Materials or breach of warranties.
10.2. Aggregate Liability Cap: To the maximum extent permitted by applicable law, Producer's total aggregate liability for any claim arising out of this agreement shall be strictly capped at the direct bid amount actually paid by Participant.
10.3. Reliance on Third-Party Cloud Infrastructure, No Latency/Speed Warranty, Glitch Non-Liability, Cyber Attacks, Unforeseen Vulnerability Exploits, Swift Mitigation & Complete Liability Waiver: The participant expressly acknowledges, understands, and agrees that the website, real-time leaderboard, bidding console, and media hosting operate upon distributed third-party cloud service providers, database clusters, content delivery networks (CDNs), payment gateway APIs, and global internet routing infrastructure. Consequently:
- No Uptime, Download Speed, or Low Latency Guarantee: The platform does NOT guarantee, warrant, or promise continuous uninterrupted availability, 100% uptime, any specific download or upload speed, or low latency. The service is provided strictly on an "AS IS" and "AS AVAILABLE" basis.
- Third-Party Infrastructure Disruptions, Network Lag & Outages: The website or console may go down, experience latency, or suffer degraded performance if underlying cloud infrastructure, server hosts, network backbones, or third-party service providers experience disruptions, technical failures, or scheduled maintenance.
- Cyber Attacks, Zero-Day Exploits & Data Leakage Swift Action Protocol: In the event of any security incident, distributed denial-of-service (DDoS) attack, malicious cyber attack, unauthorized system intrusion, exploit of unforeseen or zero-day software vulnerabilities, unexpected system errors, data leakage, unauthorized disclosure, or emergency platform takedown, the Platform will take swift, diligent, and commercially reasonable action to isolate errors, mitigate data leakage, patch vulnerabilities, notify relevant authorities where statutorily mandated, and restore secure platform operations as expeditiously as practicable.
- Complete Waiver of Platform Liability in Adverse Scenarios: In any and all such adverse scenarios, cyber attacks, data leaks, vulnerability exploits, emergency takedowns, or infrastructure disruptions, the registered user, bidder, and associated stakeholders explicitly, irrevocably, and unconditionally waive the Platform, Website Owner (Shrey Industries), Producer, Builder, and their affiliates, directors, officers, and contractors of any and all civil, financial, or statutory liability, damages, losses, or claims whatsoever. The Platform and Website Owner shall have no duty to indemnify, defend, or hold harmless the user for any direct, indirect, consequential, punitive, or incidental losses arising from such events.
- Strict Non-Refundability for Claims of Unfairness or Glitches: Under no circumstances will any bid amount paid be refunded, credited, or returned based on any claims of "unfairness," missed bid placement timing, outbidding during network lag, concurrency conflicts, system errors, data incidents, or technical glitches in backend systems or networks. All bids placed are non-refundable, non-escrow, and final.
11. Maiden Creative Enterprise, Landscape Navigation & Team Formation Declaration
11.1. Maiden Creative Venture Declaration: Participant expressly acknowledges, understands, and agrees that the motion picture ZERO SHOT represents the Producer's and Builder's first venture and enterprise in this kind of creative, cinematic, and computational filmmaking space.
11.2. Multidisciplinary Landscape Navigation: Participant explicitly recognizes and accepts that as a pioneering initiative operating at the intersection of cinema and generative computing, the Producer and Builder are actively navigating through all regulatory, legal, compliance, technological, and creative landscapes across domestic and international jurisdictions.
11.3. Ongoing Team Building & Infrastructure Scaling: Participant further acknowledges that the Producer and Builder are actively building, assembling, and scaling the multidisciplinary team—including creative artists, prompt engineers, software developers, narrative designers, and compliance counsel—required to execute this enterprise. Participant acknowledges that production workflows, delivery schedules, technical toolchains, and narrative integration paradigms may adaptively evolve as team formation and operational capabilities expand.
12. Payment Processing, Merchant of Record (MoR), Invoicing, Tax Inclusivity, Additional Processing Surcharges & Bidder Accommodation / Tax Indemnity
12.1. Invoicing & Owner Tax Inclusivity: All official invoices, receipts, and billing statements issued by the Owner of the Website for bid placement, rank propulsion, or cameo placement services are inclusive of all applicable taxes that the owner of the website is legally required to charge under the direct tax and commercial statutory framework of its principal operational jurisdiction.
12.2. Bidder Responsibility for Extra Taxes, Charges & Tariffs: If there are any additional, external, indirect, regional, cross-border, withholding, value-added (VAT), goods and services (GST), sales, digital services, excise, stamp, customs duties, tariffs, bank levies, or import/export charges that need to be paid or accounted for by bidders for the purchase or acquisition of this service at the bid price under the laws of any applicable domestic, foreign, or international jurisdiction where the bidder is resident, situated, incorporated, or required to do so, it is solely and exclusively the bidder's responsibility to fulfill, report, remit, and pay all those statutory obligations.
12.3. No Owner Liability or Indemnification: Neither the Website Owner, Director, Producer, Builder, nor any related entity, affiliate, officer, director, agent, or representative shall be liable for, or indemnify, defend, or hold harmless the bidder or any taxing authority against, any such extra taxes, charges, tariffs, duties, penalties, interest, or regulatory assessments.
12.4. No Coverages, Offsets, Gross-Up or Refunds: The Website Owner does not provide any tax coverage, tax gross-up, indemnification, reimbursement, credit, offset, or refund of any kind for any such additional taxes, charges, or tariffs incurred or claimed. All bids placed and recorded are final, non-deductible, and strictly non-refundable.
12.5. Accurate Billing Address & Postal PIN/ZIP Code Invoicing Prerequisite: To ensure proper fiscal compliance and official statutory invoice issuance by Shrey Industries (GSTIN: 27CJDPC925Q1ZK), every bidder must provide an accurate, genuine registered billing address and postal PIN / ZIP code in their Console. Invoices will be generated and issued based strictly on the verified billing credentials provided.
12.6. Use of Multiple Merchants of Record (MoR) & International Payment Mechanisms: To facilitate smooth, flexible international payment collection, support localized currency processing, and ensure full compliance with regional financial regulations, cross-border banking mechanisms, and tax remittance standards, the Website Owner reserves the right to utilize, deploy, and route transactions through multiple Merchants of Record (MoR), licensed payment aggregators, and authorized acquiring entities (including, without limitation, Dodo Payments, PayPal, Razorpay, Stripe, or other recognized global and domestic payment service partners or billing intermediaries). Depending on the participant's jurisdiction, billing country, selected payment method, or currency, the entity designated as the Merchant of Record on checkout interfaces, payment receipts, bank descriptors, or tax invoices may vary. Every bidder expressly acknowledges and agrees to this multi-MoR operational structure, and confirms that all platform terms, non-refundable policies, statutory declarations, and liability provisions remain binding and enforceable regardless of which Merchant of Record or payment mechanism is engaged to collect the funds.
12.7. Direct Invoicing by Merchant of Record (MoR): If payments are paid to, processed by, or collected by an authorized Merchant of Record, payment aggregator, or licensed acquiring partner, that Merchant of Record or payment collection entity might directly generate, issue, and deliver the official commercial tax invoice, transaction receipt, or billing statement directly to the bidder or user. Every participant and bidder explicitly understands, considers, consents, and agrees to this direct invoicing procedure, and agrees that receiving an invoice directly issued by the applicable Merchant of Record constitutes full, valid, and legally complete delivery of invoicing documentation for the payment made.
12.8. Merchant of Record (MoR) Integrations, Potential Additional Taxes/Charges & Mandatory Bidder Accommodation: While the Platform and Website Owner structure and intend for bid payments to be inclusive of all baseline taxes legally required to be collected under the Website Owner's primary operational statutory framework, participant and bidder explicitly acknowledge, consider, and agree that when paying via our third-party Merchant of Record (MoR) integrations, acquiring partners, or cross-border payment rails (including, without limitation, Dodo Payments, PayPal, or foreign payment processors), additional taxes, jurisdiction-specific statutory levies, cross-border remittance surcharges, card brand scheme assessments, foreign exchange conversion spreads, or local digital services taxes (DST) might be incurred, calculated, added, or charged by or through the Merchant of Record, payment gateway, acquiring bank, or issuing card authority at checkout or on the participant's bank/card billing statement, even if the Platform has stated or indicated that payments are inclusive of all taxes. Participant and bidder explicitly, unconditionally, and irrevocably covenant and agree to accommodate, absorb, accept, and satisfy all such additional taxes, charges, and processing surcharges in such cases without claim, offset, deduction, reimbursement demand, chargeback, or dispute against the Website Owner, Shrey Industries, the Producer, the Platform, or the Merchant of Record. Under no circumstances shall the Website Owner provide any price reduction, refund, tax gross-up, or cash indemnity for any such additional MoR-assessed or bank-assessed charges.
13. Details, Brands, Movie Titles, Underlying Operating Entity (Shrey Industries) & Platform (BID4CAMEO) Subject to Change, Direct Invoicing & M&A Continuity
13.1. Dynamic Creative, Production, Entity & Platform Evolution: Participant and all associated stakeholders expressly acknowledge, understand, and agree that all details, creative treatments, narrative contexts, visual elements, brand integrations, commercial heraldry, character portrayals, runtime allocations, distribution channels, and the working title, public name, and brand associations of the motion picture itself (including ZERO SHOT or any subsequent title designations), as well as the underlying operating entity (Shrey Industries or any corporate successors) and the website brand (BID4CAMEO, bid4cameo.space, or any successor platform designation, portal, or domain), are dynamic artistic, commercial, and technological operations and might be subject to modification, revision, adaptation, rebranding, reorganization, substitution, or change due to various reasons. These reasons include, without limitation: artistic evolution, directorial discretion, narrative cohesion, computational toolchain constraints, distribution channel mandates, global trademark and intellectual property clearances, corporate reorganization, platform infrastructure evolution, content rating guidelines, statutory censorship directives, or commercial contingencies.
13.2. M&A Continuity & Corporate Restructuring: Participant and all associated stakeholders expressly acknowledge, consider, and agree that this Agreement, all statutory declarations, covenants, ranking rules, directory listings, and non-refundable bid policies remain fully valid, binding, and enforceable even if the underlying operating entity (Shrey Industries), the film project (ZERO SHOT), the platform brand (BID4CAMEO), or the Producer/Builder undergoes any merger, acquisition, corporate restructuring, reorganization, consolidation, change of control, joint venture, spinoff, asset sale, or transfer/assignment of rights and intellectual property (collectively, "M&A Events"). In the event of any M&A Event:
- Successor Enforceability: All rights, protections, disclaimers, waivers of liability, non-refundable bid policies, and statutory covenants shall automatically inure to the benefit of, and be fully exercisable by, any acquiring company, successor entity, parent corporation, subsidiary, or assignee without requiring separate novation, notice, or consent.
- No Breach or Impairment: Any corporate restructuring, legal renaming, reincorporation, rebranding of BID4CAMEO, or structural transition of Shrey Industries resulting from an M&A Event shall not constitute a breach of contract, default, or material alteration of service.
- Strict Non-Refundability: Under no circumstances shall any M&A transaction, corporate restructuring, or brand evolution entitle the participant, bidder, or any related entity to a refund, chargeback, transaction rescission, credit, monetary damages, or compensation. All bids placed remain non-refundable and final.
13.3. Complete Non-Liability of Producer, Builder, Operating Entity, Successors & Platform: The bidder, participant, and any and all other stakeholders, parent corporations, subsidiaries, approvers, board members, investors, brand licensors, affiliates, partners, and representatives associated with the bidder expressly and irrevocably agree that neither the Producer, Builder, Director, Website Owner (Shrey Industries), Platform (BID4CAMEO), nor any of their contractors, affiliates, acquiring entities, successors, or distributors are liable, responsible, or accountable for any such changes, title revisions, entity restructuring, brand adaptations, platform rebranding, M&A transitions, contextual modifications, or artistic alterations.
13.4. No Grounds for Refund or Rescission: Under no circumstances shall any change to movie details, titles, brand treatments, platform branding, corporate entity structure, M&A transitions, or narrative associations entitle the bidder or any related stakeholder to a refund, chargeback, transaction rescission, credit, monetary damages, or legal claim. All bids remain non-refundable consideration for primary leaderboard ranking and digital visibility on the Site.
14. Mandatory Stakeholder Governance, Board & Legal Counsel Pre-Bid Diligence
14.1. Compulsory Internal Circulation & Stakeholder Sharing: Bidders and participants are strictly advised, urged, and required to fully share, circulate, and review these Terms of Service, Bidding Rules, and Legal Covenants with all relevant internal and external stakeholders—including corporate approvers, Board of Directors, executive management, legal and statutory counsel, brand compliance officers, procurement teams, and financial controllers—prior to submitting any bid or committing financial resources on the Platform.
14.2. Representation of Thorough Reading & Full Authorization: By placing a bid, registering an account, or confirming acceptance on the Platform, the bidder affirmatively covenants, represents, and warrants that they have read these Terms thoroughly in their entirety, formally shared them with all relevant people, approvers, boards, and counsel, and obtained all necessary corporate approvals, statutory clearances, and financial authorizations before agreeing to these Terms and submitting their bid.
14.3. Elimination of Non-Compliance, Liability & Bidder Mistakes: This mandatory pre-bid governance protocol is established to avoid any non-compliance, regulatory liability, corporate misunderstanding, unauthorized procurement, or mistakes on the part of the bidder or their organization prior to participating in the live bidding auction. Neither the Producer, Builder, nor Platform shall entertain or be liable for any subsequent claims alleging lack of internal corporate authority, failure to read or understand terms, unauthorized executive action, or bidder error.
15. Minor Bidders, Compulsory Parental/Guardian Consent, Nature of Representation & Permissions
15.1. Compulsory Parental or Legal Guardian Consent: If any bidder, participant, or cameo pass nominee is a minor (an individual under the legal age of majority in their jurisdiction of residence, typically under eighteen [18] years of age), participation, bidding, account creation, and submission of materials are strictly prohibited without the express, verifiable, and legally binding written consent of a parent or court-appointed legal guardian.
15.2. Nature of Legal Representation: Where a bid is submitted by or on behalf of a minor, the parent or legal guardian represents and warrants that they execute this Agreement in a representative and supervisory capacity, assuming full, joint, and several legal and financial responsibility for the minor's account, bid submissions, payment obligations, compliance covenants, and interactions on the Platform. The parent or guardian affirms that they possess all requisite legal authority to act on behalf of the minor and bind the minor and their estate to these Terms.
15.3. Statutory Permissions, Likeness & AI Synthesis Clearances: The parent or legal guardian grants the Producer, Builder, and their distributors all necessary statutory permissions, child performer and likeness clearances (in full compliance with applicable child privacy and protection standards, including COPPA and regional statutory equivalents), and an irrevocable, worldwide, perpetual license to ingest, simulate, animate, voice-synthesize, and publicly exhibit the minor's name, handle, voice, likeness, or submitted materials within the motion picture ZERO SHOT, trailers, and associated global media across all distribution platforms now known or hereafter created.
15.4. Guardian Indemnification & Waiver of Disaffirmation: The parent or legal guardian agrees to defend, indemnify, and hold harmless the Producer, Builder, Director, and Platform against any disaffirmation of contract, disavowal of consent, or youth-related claims upon the minor reaching the age of majority. All bids placed by or on behalf of a minor remain strictly non-refundable and fully executed consideration for public leaderboard visibility on the Site.
16. Statutory Bidder Declarations & Platform Agreement
Pursuant to the governance framework of ZERO SHOT, every bidder, entity, and participant expressly, affirmatively, and irrevocably agrees to the following statutory bidder declarations prior to bidding, payment processing, and leaderboard ranking:
16.1. Single Entity Scope & M&A Responsibility: Cameo pass is strictly for just one entity or person. If bidder entity changes post movie final placement date (Cast Lock), the change will not be entertained under any circumstances. In case of M&A, investments, or corporate restructuring, it is solely and exclusively the bidder's responsibility to notify related parties/investors and represent this properly.
16.2. Cumulative Propulsion & Non-Refundability: All bids are non-escrow, irrevocable payments that directly propel leaderboard rank. Subsequent bids accumulate for the bidder's account to elevate rank. All payments are strictly non-refundable upon recording.
16.3. Producer Discretion & One-Time Transfer: The cameo pass may be passed on strictly only once prior to movie final placement date upon formal written notification to Site Owner. Producer reserves ultimate creative, narrative, and compliance discretion.
16.4. Invoicing, Tax Obligations, Merchant of Record (MoR) & Additional Charges Accommodation: Invoice is inclusive of all taxes the website owner must charge. Local cross-border tariffs, customs duties, or regional taxes remain the bidder's sole responsibility; the platform owner provides no tax indemnity. Bidder acknowledges and agrees that the platform may utilize multiple Merchants of Record (MoR) or authorized payment collection partners (such as Dodo Payments, PayPal, etc.) to facilitate international payment processing, compliance, and checkout mechanisms. If additional taxes, cross-border levies, currency conversion spreads, or payment processing surcharges are incurred or charged when paying through any MoR integration (even if stated as tax-inclusive), the bidder expressly covenants to accommodate and absorb all such charges without dispute, claim, chargeback, or refund entitlement.
16.5. Prerequisite Agreement & Technical Audit Telemetry: Payments will be accepted and listing on the public leaderboard will be executed strictly and only after the user/bidder reads the Terms of Service & Bidder Agreement and affirmatively agrees to all terms and declarations. Upon agreement and during transaction processing, the platform backend automatically logs the user's client IP address, device hardware fingerprint, browser fingerprint, and exact date and timestamp (UTC/ISO) into the backend compliance database to maintain a verified audit record.
16.6. Deterministic Rank Priority, Concurrency Window & +$5 Increment Rule: All platform bids operate under deterministic ledger priority. The first confirmed payment for a specific cumulative capital tier locks that rank. Bidders arriving within a 10-second concurrency window with equal cumulative funding are sequenced in immediate subsequent ranks in timestamp order. Displacing an active rank strictly requires surpassing the incumbent's cumulative standing by at least $5.00 USD (or rounded off equivalent in transaction currency).
16.7. Genuine Billing Details, Postal PIN/ZIP Code & Entity Credentials Statutory Liability: Every bidder explicitly and solemnly declares that all billing information (including official billing name, registered billing address, postal PIN / ZIP code, country, and tax identification/GSTIN) and product/company credentials provided or that will be provided/updated are completely authentic, genuine, and legally accurate. The participant accepts full personal, corporate, and statutory legal liability for any falsification, misrepresentation, or regulatory non-compliance, and agrees to indemnify and hold harmless Shrey Industries, the Platform, and the Producer from any associated penalties, damages, or tax liabilities.
16.8. Content Moderation, Authority to List, Mandatory KYC/KYB & Fair Unlisting/Reranking Policy: Every participant—including non-cameo bidders or general participants listing an entity, product, or business—solemnly declares that they possess and maintain full legal authority to list that entity/product/business on the platform. The participant agrees to the platform's declared policy to flag and unlist fraudulent, illegal, or misleading products or services if found or even suspected during moderation. Participant agrees to provide requested KYC, KYB, and supporting documents within a reasonable timeframe (typically 48–72 hours) upon notice, failing which the listing will remain unlisted until verified. Participant expressly acknowledges and agrees that this policy—including precautionary unlisting on suspicion, prompt relisting upon verification, and deterministic reranking by cumulative paid capital—is fair, reasonable, proportionate, and equitable by all means.
16.9. Platform Listing Scope, No Traffic/Click Guarantee & Conditional Top 50 Cameo Pass: Every participant explicitly acknowledges and affirms that bidding is strictly for platform leaderboard rank standing and public directory placement. The platform does not guarantee, warrant, or promise any particular or minimum amount of clicks, visitors, or web traffic to the bidder's listed entity, product, or external links. Participants understand that only verified qualifying bidders who finish within the final Top 50 upon auction close earn a conditional cameo appearance pass in ZERO SHOT, which remains strictly subject to all terms, single-entity restrictions, editorial discretion, content moderation policies, and compliance standards already established in this Agreement.
16.10. Third-Party Cloud Infrastructure, No Latency Guarantee, Cyber Incident Swift Mitigation & Complete Liability Waiver: Every participant expressly acknowledges that the platform operates on distributed third-party cloud infrastructure, hosting providers, and external networks, and provides no guarantee of specific download speeds, operational latency, or continuous uptime. The platform may experience downtime or disruptions if external infrastructure breaks. In the event of cyber attacks, DDoS incidents, unforeseen vulnerability exploits, data leaks, errors, or emergency platform takedown, the platform will take swift and diligent action to isolate errors, mitigate data exposure, and restore secure operations; however, the registered user and bidder explicitly and unconditionally waive the platform, website owner, producer, and affiliates of any and all liability, claims, damages, or refund demands arising from any such adverse scenarios, infrastructure disruptions, network lag, or system glitches. All bids placed remain strictly non-refundable.
16.11. Cookies, Similar Technologies & Telemetry Consent: Every participant and bidder expressly acknowledges, understands, and consents to the platform's deployment and utilization of essential cookies, local storage, session storage, device hardware fingerprinting, client IP logging, and technical audit telemetry as detailed in the Cookies and Similar Technologies Policy. The participant agrees that these technologies are strictly necessary for fraud prevention, anti-sybil bid validation, authentication security, and maintaining the immutable audit trail of the live leaderboard.
16.12. Single Active Session Security Enforcement & Immediate Concurrency Eviction: Every participant expressly acknowledges and agrees that only one active authenticated session per account is allowed and strictly enforced for enhanced security. Concurrent multi-device or multi-tab access is actively prevented; attempting to authenticate or claiming an active session on any browser, device, or tab immediately and automatically signs out, evicts, and revokes access from all other active sessions to protect account integrity and prevent credential abuse.
